Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") govern your use of the services provided by GreenWall IT Solutions Inc. ("GreenWall IT," "we," "us," or "our"), including VoIP telephone service, the AI Voice Receptionist, DID number provisioning, and the Client Portal (collectively, the "Services"). By registering for an account, or by using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. Where you have entered into a separate written service agreement or order form with us, that agreement governs to the extent of any conflict with these Terms.

2. The Services

GreenWall IT provides business and residential VoIP telephone service, phone number (DID) provisioning, call routing features such as IVRs and time conditions, an AI Voice Receptionist service, and related IT support. Services are delivered over the public internet using third-party carrier and platform providers.

Providers: we may use any third-party carrier, platform or service provider to deliver the Services and may change providers at any time, provided the Services continue to be delivered substantially as described. Your agreement is with GreenWall IT alone; you have no contractual relationship with, and no right to deal directly with, any provider we use on your behalf in connection with your Services. The identities of our providers, our arrangements with them, and any account, sub-account or technical identifiers we assign to you are confidential commercial information of GreenWall IT.

Service features, plans, and pricing may change. Where a change materially affects your service or the fees you pay, we will provide reasonable advance notice by email or through the Client Portal.

3. Accounts and Eligibility

You must be at least 18 years old and capable of entering into a binding contract. You agree to provide accurate, current, and complete information when registering, and to keep it up to date — including your service address, which is used for emergency call routing.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@greenwallit.ca if you suspect unauthorized access.

4. Emergency Services (9-1-1) — Important Limitations

VoIP 9-1-1 service differs in important ways from traditional telephone 9-1-1 service. Please read this section carefully.

  • Power and internet dependency: emergency calls will not work during a power outage, internet outage, or interruption of your broadband service.
  • Registered address: emergency responders are dispatched to the service address registered on your account, which may not be your actual location if you move the device or use the service from elsewhere. You must keep your registered service address current.
  • Possible delays: emergency calls may be routed to a call centre or general access line rather than directly to a local emergency dispatcher, and may take longer to connect than a traditional call.
  • Suspended accounts: emergency calling may be unavailable if your account is suspended or terminated.

You agree to inform all users of your service of these limitations. Where possible, maintain an alternative means of reaching emergency services, such as a mobile phone.

5. Fees, Billing, and Payment

Fees for your Services are set out at the time of subscription and displayed in the Client Portal. Unless stated otherwise, fees are billed monthly in advance and are exclusive of applicable taxes.

Auto-Pay: if you enrol in Auto-Pay, you authorize us to charge your selected payment method, through our payment processors, on a recurring monthly basis until you cancel. Card details are handled by our payment processors; we do not store your full card number.

Failed payments: if a payment fails, we will notify you and may suspend Services if the balance remains unpaid. Usage-based charges, such as call minutes beyond an included allowance, are billed in arrears.

Cancellation: you may cancel at any time through the Client Portal or by contacting us. Fees already paid for the current billing period are non-refundable except where required by law.

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation, including telecommunications and anti-spam legislation
  • Send unsolicited bulk calls or messages, or engage in telemarketing that does not comply with applicable rules, including the National Do Not Call List
  • Transmit misleading caller identification information, or otherwise spoof caller ID unlawfully
  • Harass, threaten, defraud, or abuse any person
  • Resell or redistribute the Services without our prior written consent
  • Interfere with, overload, or attempt to gain unauthorized access to our systems or those of our providers
  • Use credentials, identifiers or configuration we provide for any purpose other than using the Services through GreenWall IT

You are solely responsible for the content of communications transmitted using the Services and for the conduct of anyone you allow to use them. We take a zero-tolerance approach to spam, unsolicited bulk calling and unlawful telemarketing: we may suspend the Services immediately, without prior notice, where we reasonably believe they are being used in that way, or where a carrier or regulator requires it.

Unlimited or high-allowance calling plans are intended for normal use. We may investigate and act on usage that is materially inconsistent with typical use patterns.

7. Phone Numbers and Porting

Phone numbers assigned to you are licensed for use during your subscription and are not property you own. Subject to applicable porting rules and your account being in good standing, you may port an eligible number away to another provider.

Numbers may be reclaimed following termination or extended non-payment. We are not liable for the loss of a number where an account has been terminated or has remained unpaid, or where a port fails for reasons outside our reasonable control.

8. AI Voice Receptionist

The AI Voice Receptionist answers and handles calls using automated speech technology provided by a third-party platform. You acknowledge that:

  • Automated systems can misunderstand callers, and transcripts and summaries may contain errors
  • The service is not suitable for emergency, medical, legal, or safety-critical call handling
  • Calls may be recorded and transcribed to deliver the service; you are responsible for meeting any notice or consent obligations that apply to recording calls in your jurisdiction
  • You are responsible for the content of the instructions, greetings, and knowledge sources you configure
  • Where the receptionist is enabled to answer text messages for your account, the same limitations apply to texts, and you are responsible for any consent required to message the people who text you
  • The receptionist is an automated system and is not a substitute for a person; a caller can always ask to be transferred to one

9. Service Availability

We aim to provide reliable service but do not guarantee uninterrupted or error-free operation. The Services depend on your internet connection, your equipment, and third-party carriers and platforms outside our control. Scheduled maintenance, outages, and degradation may occur.

Unless a written service level agreement has been separately agreed with you, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any warranty that the Services will be uninterrupted, secure or error-free.

Events beyond our control: we are not responsible for any failure or delay caused by events outside our reasonable control, including failures of the public internet, power, or of a carrier or platform provider, and acts of government, labour disputes, or natural events.

10. Suspension and Termination

We may suspend or terminate your Services if you breach these Terms, fail to pay amounts owing, use the Services unlawfully, or where required by a carrier, regulator, or law. Where practicable, we will give you notice and an opportunity to resolve the issue first.

Where suspension is for non-payment, we will give you at least ten (10) days' notice by email before suspending, except where we reasonably suspect fraud. While an account is suspended, all Services including the AI Voice Receptionist and inbound calls to your numbers may be unavailable, and emergency calling may not work (see section 4).

On termination, information we hold on your behalf about your callers or customers is deleted or, on request, returned, in accordance with the data-processing terms that apply to your account and subject to any retention the law requires.

You may terminate at any time. Sections that by their nature should survive termination — including limitation of liability, indemnity, and governing law — will continue to apply.

11. Limitation of Liability

To the maximum extent permitted by law, GreenWall IT is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, or lost data, arising from your use of or inability to use the Services.

To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Services is limited to the amount you paid us for the Services in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law, including under consumer protection legislation.

12. Indemnity

You agree to indemnify and hold harmless GreenWall IT and its providers from claims, damages, and reasonable costs arising from your use of the Services, your breach of these Terms, or your violation of any law or the rights of a third party — including claims relating to call recording, telemarketing, caller-notice or privacy obligations, or the content of calls handled on your behalf. This does not require you to indemnify us for our own breach of law or of these Terms.

13. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.

Where we process personal information about your callers or customers on your behalf — for example through the AI Voice Receptionist — you determine the purposes for which that information is collected and used, and we process it in accordance with these Terms, any data-processing clause in your service agreement, and your documented instructions, except where the law requires otherwise. If a separate data-processing clause or agreement applies to your account, it governs to the extent of any conflict with this section.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or through the Client Portal. Continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.

15. Governing Law

Unless a separate written agreement between us provides otherwise, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of Ontario have exclusive jurisdiction over any dispute arising from these Terms or the Services, subject to any right you may have to bring a matter before a consumer protection or regulatory body.
